1. Acceptance of Terms

By accessing and using OrderWeave's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

OrderWeave is a product operated by Holocorp LTD (Company No: PVT-EYUD6EL), a company registered in Kenya. Our registered office is located at Ground Floor, Longonot Place, Kijabe Street, Nairobi, Kenya (P.O. Box 12901 00100 Nairobi, Kenya). Throughout these terms, "we," "our," "us," and "OrderWeave" refer to Holocorp LTD and the OrderWeave service.

OrderWeave provides e-commerce inventory synchronization and management services between ERPNext and various e-commerce platforms including WooCommerce and Shopify.

2. Service Description

OrderWeave offers subscription-based software-as-a-service (SaaS) that enables:

• Automated synchronization of products, prices, and inventory between ERPNext and e-commerce platforms
• Real-time inventory management and updates
• Multi-warehouse support and stock tracking
• Analytics and reporting features
• Dead stock analysis and optimization tools

3. User Accounts and Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Ensuring your ERPNext and e-commerce platform credentials are secure
• Notifying us immediately of any unauthorized access

4. Subscription and Payment

Billing: Subscriptions are billed monthly or annually based on your selected plan.

Auto-Renewal: Your subscription will automatically renew unless canceled before the renewal date.

Payment Processing: Payments are processed securely through Paddle.com, our payment provider.

Price Changes: We reserve the right to modify pricing with 30 days' advance notice to existing subscribers.

5. Acceptable Use

You agree not to:

• Use the service for any illegal purposes
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Reverse engineer or decompile any part of the software
• Resell or redistribute our services without authorization

6. Data Ownership and Privacy

Your use of OrderWeave is also governed by our Privacy Policy.

Your Data Belongs to You

We claim no intellectual property rights over the data you provide to OrderWeave. All product information, inventory data, pricing, customer information, and other business data you sync through our service remains exclusively yours.

You grant us a limited, non-exclusive license to access, process, and transmit your data solely for the purpose of:

• Providing synchronization services between your ERPNext and e-commerce platforms
• Maintaining and improving our service functionality
• Providing customer support when you request assistance
• Complying with legal obligations

This license terminates automatically when you cancel your subscription or delete your account.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with advance notice.

We are not liable for service interruptions caused by factors beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, OrderWeave shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from synchronization errors or data discrepancies
• Issues arising from third-party platforms (ERPNext, WooCommerce, Shopify)

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Account Cancellation and Data Retention

Voluntary Cancellation

You may cancel your subscription at any time through your account settings or by contacting support at support@orderweave.com.

Termination by OrderWeave

We may suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in fraudulent activity or initiate frivolous or bad-faith payment disputes
• Use the service in a manner that poses security risks
• Fail to pay subscription fees

Data Retention After Termination

Upon cancellation or termination of your account:

• 30-Day Grace Period: Your data remains accessible for export for 30 days after termination
• Data Export: You can download all your synchronized data during this period
• Permanent Deletion: After 30 days, all your data is permanently deleted from our systems (unless required for legal compliance)
• No Recovery: Once data is deleted, it cannot be recovered

We recommend exporting all important data before canceling your subscription.

10. Intellectual Property and License

OrderWeave Intellectual Property

All intellectual property rights in the OrderWeave platform, software, documentation, and related materials remain the exclusive property of Holocorp LTD or our licensors. This includes but is not limited to:

• Source code and software architecture
• User interface design and branding
• Documentation and training materials
• APIs and integration methods

Your License to Use OrderWeave

Subject to your compliance with these Terms and payment of applicable fees, we grant you a:

• Limited: Only for the purposes described in these Terms
• Non-exclusive: We may grant similar licenses to others
• Non-transferable: You cannot assign or transfer your license
• Revocable: License terminates immediately upon subscription cancellation or termination
• Time-limited: Valid only during your active subscription period

You may not copy, modify, distribute, sell, or lease any part of our services or software without our explicit written permission.

11. Chargebacks and Payment Disputes

We strongly encourage you to contact us at billing@orderweave.com before initiating any chargeback or payment dispute with your bank or credit card company.

Legitimate Disputes

If you have a legitimate billing issue, we are committed to resolving it fairly and promptly. Legitimate reasons for disputes include:

• Duplicate charges or billing errors
• Charges after subscription cancellation (outside normal billing cycle)
• Unauthorized use of your payment method
• Technical issues preventing service access during paid period

Frivolous or Bad-Faith Chargebacks

Initiating a chargeback for reasons other than those listed above, or without first attempting to resolve the issue with our support team, may be considered a frivolous or bad-faith dispute. Examples include:

• Change of mind after using the service
• Failure to cancel before automatic renewal
• Disputes filed to avoid payment while continuing to use the service
• Chargebacks initiated without contacting support first

Consequences of Chargebacks

If you initiate a chargeback:

• Immediate Suspension: Your account will be suspended immediately
• Administrative Fees: You will be responsible for chargeback fees imposed by payment processors (typically $15-25 USD)
• Account Termination: Frivolous or bad-faith chargebacks may result in permanent account termination
• Legal Action: We reserve the right to pursue legal remedies for fraudulent chargebacks

12. Modifications to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through the service.

Continued use of the service after changes constitutes acceptance of the new terms.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any disputes, claims, or controversies arising out of or relating to these Terms or the use of OrderWeave services shall be resolved exclusively in the courts of Nairobi, Kenya. You consent to the personal jurisdiction of such courts.
